TERMS OF SERVICE

By using the StackRef website, software, or consulting services (hereinafter collectively the "Services"), you agree to the following Terms of Use.

If you are entering into this agreement on behalf of a company or another legal entity, you affirm that you have the authority to bind such entity and its affiliates to these Terms of Use. In this case "you" or "your" shall refer to such entity and its affiliates.

StackRef Inc. reserves the right to change the following Terms of Use at all times with or without notice. The latest version of the Terms of Use can be found at: https://stackref.com/terms-of-service.

General

a. These conditions apply to all contracts between StackRef Inc. and you concerning the Services unless otherwise agreed in writing.

b. The applicability of any general Terms of Use invoked by you is explicitly rejected unless explicitly confirmed in writing by StackRef Inc.

Consulting services

a. Consulting engagements are governed by the terms of the platform or marketplace through which they are purchased (such as AWS Marketplace), or by a separate written agreement or statement of work between you and StackRef Inc.

b. In the event of a conflict between these Terms of Use and a separate written agreement or the applicable marketplace terms, the separate agreement or marketplace terms control for that engagement.

c. Estimates, timelines, and recommendations provided as part of a consulting engagement are given in good faith based on the information available at the time and do not constitute a guarantee of any particular outcome.

d. You remain responsible for your own cloud accounts, credentials, data, and costs, including charges incurred with your cloud providers during or after an engagement.

Open source software

a. StackRef open source software, including StackRef Hackathon Manager, is provided under the license terms published in its source code repository. Those license terms, not these Terms of Use, govern your use of the software.

b. Open source software is provided "as is," without warranty of any kind, express or implied, unless the applicable license states otherwise.

Acceptable use

a. You may not use the Services for any illegal or unauthorized purpose. You must not, in the use of the Services, violate any laws in your jurisdiction.

b. You will not modify, adapt or hack the Services or modify another website so as to falsely imply that it is associated with StackRef Inc.

c. You may not duplicate, copy, or reuse any portion of the HTML, CSS, JavaScript, or visual design elements or concepts of this website without express written permission from StackRef Inc. This restriction does not apply to StackRef open source software, which may be used under its published license.

d. You must not transmit any worms or viruses or any code of a destructive nature.

Liability

a. Your use of the Services is at your sole risk. StackRef Inc. shall not be liable for any direct or indirect damages including but not limited to, consequential damages, lost profits, lost savings and damage due to business stagnation.

b. You shall indemnify StackRef Inc. against all claims for damages which third parties may claim in respect of damage caused by the use of the services or products supplied by StackRef Inc.

c. StackRef Inc. strives to achieve but does not warrant that: 1) the Services will meet your requirements, 2) the Services will be uninterrupted, timely, secure, and error-free.

Applicable law and disputes

a. This agreement is governed by United States law.

b. If any part of this Agreement is void, or declarable as such, for any reason, including due to rules of compulsory law, the remaining paragraphs of this agreement will remain in effect between StackRef Inc. and you.

c. Unless rules of compulsory law state otherwise, the court of Delaware has exclusive jurisdiction in any disputes between Parties arising from this Agreement.

Other conditions

a. StackRef Inc. uses third-party vendors and hosting partners to provide the necessary hardware, software, networking, storage, and related technology required to run the Services. In the case of force majeure, StackRef Inc. shall not be liable.

b. You are responsible for not submitting sensitive data to StackRef Inc. through this website, including but not limited to credit card information, medical files, or anything deemed confidential, unless a written agreement covering that data is in place.
